Last updated October 15, 2026
These Terms and Conditions have been updated as of October 15, 2026 and shall supersede and replace all prior Terms and Conditions.
These Terms of Use ("Terms") are a binding agreement between you and UnderAsk, Inc., a Florida corporation ("UnderAsk," "we," "us" or "our"). They govern your use of the UnderAsk website, apps, AI tools and related services (the "Service").
By creating an account, paying for a Negotiation Request or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
To use the Service you must:
You are responsible for keeping your account credentials secure and for all activity under your account.
UnderAsk is a consumer-side negotiation service. You pay us, and only you. We use AI tools to contact independent motor vehicle dealerships, request pricing on vehicles you are interested in, negotiate non-binding price quotes on your behalf, and present the resulting offers to you so you can decide what to do.
UnderAsk is not a motor vehicle dealer, manufacturer, lender, lessor, insurer or seller of vehicles. We do not own, stock, display, sell, lease, title, register or deliver vehicles. We are not a party to any purchase, lease, or financing agreement between you and a dealership. UnderAsk does not hold a motor vehicle broker or dealer license or registration in any state and does not represent that it is a licensed or registered motor vehicle broker or dealer.
UnderAsk is not a law firm or financial advisor, and nothing in the Service is legal, tax, insurance or financial advice. UnderAsk does not undertake to act as your fiduciary or assume discretionary control over your vehicle purchase. Except for the limited communication authorization in Section 4, these Terms do not create a general agency, power of attorney, or fiduciary relationship. You retain responsibility for evaluating quotes, selecting a dealership, and approving every transaction.
Each paid request (a "Negotiation Request") works as follows:
Each Negotiation Request covers one vehicle search and stays open for 60 days, unless we tell you otherwise when you pay. We decide which dealerships to contact based on your criteria and availability, and we may decline or stop a request we cannot reasonably fulfill.
What you authorize. By submitting a Negotiation Request, you authorize UnderAsk to contact dealerships on your behalf about the vehicle you described, to share the information described in Section 11 with them, and to request and negotiate non-binding price quotes for you. You may ask us to stop further dealer outreach at any time by contacting the Support Email below. Stopping outreach does not independently entitle you to a refund; refunds are governed by Section 5.
What we cannot do. UnderAsk has no authority to bind you. We will not, and you do not authorize us to:
You make every decision. Selecting an offer from the Service only tells us which dealer to connect you with. It is not a purchase. Every purchase decision, agreement, signature and payment for a vehicle is made by you, directly with the dealership. Always review the dealer's final paperwork yourself before signing.
How dealers are told this. Our confirmation email asks the dealer to confirm the numbers in its offer, and the dealer replies confirming them. Our introduction email states that the customer must personally review and sign any agreement.
Service fee. Each Negotiation Request costs the price shown at checkout, plus any applicable taxes, charged when you submit the request. Our standard price is US $149.99 in the United States. From time to time, we may offer a limited-time promotional price. A promotional price applies only to requests paid for while the promotion is running. The fee pays for our research, outreach and negotiation effort. It is not a deposit on a vehicle, is not paid to any dealer, and is not a commission based on the vehicle price or on whether you buy.
Payments. We use a third-party payment processor. By paying, you authorize us and our processor to charge your chosen payment method. We do not store your full card number.
Refunds. You will receive a full refund of your fee if either of the following applies:
In all other cases, the fee is non-refundable once we have contacted dealerships on your behalf. Nothing in this section limits any refund or cancellation right you have under applicable consumer protection law.
Results are not guaranteed. You are paying for our effort, not for a specific price, discount or outcome (see Section 8).
Changes to pricing. We may change our fees for future requests. The price shown when you submit a request is the price you pay for that request.
UnderAsk does not accept referral fees, lead fees, commissions, advertising payments, spiffs or any other compensation from dealerships, manufacturers or lenders for contacting them, sending them customers, or for any sale that results. Dealers cannot pay to be included in, or ranked higher among, the offers we show you.
Dealerships are independent businesses. They are not our agents, partners or affiliates. They decide whether to respond, what to quote, and whether to honor a quote. We have no control over their pricing, inventory, fees, add-ons, financing, conduct or paperwork.
You agree that:
The quotes we present come from dealerships. Before we show you an offer, we ask the dealer to confirm its details in writing. Even so, a quote may be incomplete, may exclude taxes, title, registration or other fees, may depend on incentives or financing you do not qualify for, and may be changed or withdrawn by the dealer, including because the vehicle has sold or the offer has expired.
We do not guarantee that:
Any savings estimates or market comparisons we show are estimates based on available data and are for your information only.
We have no duty to obtain the lowest possible price or the most favorable terms, and our limited role is described in Section 2. Our job is to make a good-faith effort, as described in these Terms, to obtain competitive quotes for you.
UnderAsk uses artificial intelligence to draft and send messages to dealerships, to analyze their responses, and to summarize offers for you. These messages are sent by UnderAsk and do not use your name or identity. They do not state that they are AI-generated.
AI can make mistakes. It may misread a dealer's reply, summarize a quote incorrectly, or miss a fee or condition. The dealer's own written quote and final paperwork control over anything our AI tells you.
You can see the messages we sent to dealers and their replies in your UnderAsk dashboard. If something looks wrong, tell us before you rely on it.
Service emails. By using the Service, you agree that we may email you about your account and Negotiation Requests, such as new offers, dealer replies and handoff details. These emails are part of the Service.
Marketing. We will send you marketing messages only if you separately opt in, and you can unsubscribe at any time.
Electronic records. You agree that these Terms, receipts and notices we provide electronically satisfy any legal requirement that they be in writing.
Our Privacy Policy explains how we collect, use and protect your personal information. The key points for dealer outreach are:
We may use de-identified and aggregated data, such as pricing trends, to operate and improve the Service. Depending on where you live, you may have rights to access, correct or delete your information, as described in the Privacy Policy.
You may not:
Our property. The Service, including its software, AI systems, design, text, graphics, logos and the UnderAsk name, belongs to UnderAsk or its licensors and is protected by law. We grant you a limited, personal, non-transferable license to use the Service for your own vehicle shopping under these Terms.
Your content. You keep ownership of information you submit. You grant UnderAsk a license to use it to provide, secure and improve the Service, as described in these Terms and the Privacy Policy.
Suspension. We may suspend or close your account if you violate these Terms or misuse the Service, or as otherwise provided in Section 16. Suspension or account closure does not independently create a refund right. Refunds are governed exclusively by Section 5.
DISCLAIMER. EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, UNDERASK DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE MAKE NO WARRANTY ABOUT ANY VEHICLE, DEALERSHIP, QUOTE, FINANCING OR TRANSACTION.
Dealer and vehicle matters. UnderAsk is not responsible for the acts or omissions of any dealership, including its pricing, fees, add-ons, financing, paperwork, representations, vehicle condition, title, delivery or failure to honor a quote. Your remedies for those matters are against the dealership.
Limitation of liability. TO THE FULLEST EXTENT PERMITTED BY LAW, UNDERASK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST SAVINGS OR THE DIFFERENCE BETWEEN A PRICE YOU PAID AND ANY OTHER PRICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE FEES YOU PAID US IN THE THREE (3) MONTHS BEFORE THE CLAIM AROSE OR (B) US $300. THIS IS A SINGLE COMBINED LIMIT FOR ALL UNDERASK PARTIES, NOT A SEPARATE LIMIT FOR EACH PERSON, ENTITY, CLAIM, OR LEGAL THEORY. MULTIPLE CLAIMS OR DEFENDANTS WILL NOT INCREASE THIS LIMIT.
THESE LIMITATIONS APPLY TO CLAIMS BASED ON CONTRACT, TORT, INCLUDING ORDINARY NEGLIGENCE, OR ANY OTHER LEGAL THEORY, EVEN IF AN UNDERASK PARTY WAS ADVISED OF THE POSSIBILITY OF THE DAMAGES OR A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
Where the law does not allow this. Some jurisdictions do not allow certain warranty exclusions or liability limits, so some of the above may not apply to you. Nothing in these Terms limits liability for fraud, gross negligence, willful misconduct, or any right you have that cannot be waived under consumer protection law.
Indemnification. You agree to indemnify and hold harmless the UnderAsk Parties against third-party claims, including claims by dealerships, and resulting liabilities, damages, and reasonable attorneys’ fees and expenses, to the extent arising from your materially false or unauthorized submissions, unlawful misuse of the Service, infringement of third-party rights, or material violation of these Terms. This obligation does not cover your good-faith claims against an UnderAsk Party or losses caused by an UnderAsk Party’s own negligence, misconduct, or violation of law.
UnderAsk will provide reasonably prompt notice of a covered claim. UnderAsk may control its defense and settlement with counsel of its choosing, and you will reasonably cooperate. Reimbursable defense costs must be reasonable, and UnderAsk will not agree to a settlement imposing an admission or nonmonetary obligation on you without your written consent.
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES BINDING INDIVIDUAL ARBITRATION FOR MOST DISPUTES AND INCLUDES A JURY TRIAL WAIVER AND CLASS ACTION WAIVER. YOU MAY OPT OUT AS DESCRIBED BELOW.
Informal Dispute Resolution. Before initiating arbitration, you must provide written notice describing the dispute and requested relief and allow thirty (30) days for a good-faith attempt to resolve it. Send your notice to Support Email below, including your name, account email, and applicable Negotiation Request. UnderAsk will send notices to your account email. Applicable limitations periods will be paused during this period.
Agreement to Arbitrate. Except as provided below, any dispute arising out of or relating to the Service, a Negotiation Request, these Terms, the Privacy Policy, billing, communications, or your relationship with UnderAsk will be resolved exclusively through binding individual arbitration. This includes contractual, tort, statutory, and other claims arising during or after your use of the Service.
This agreement also covers claims against UnderAsk’s affiliates, officers, directors, employees, contractors, agents, and service providers concerning their involvement in the Service. Those persons are intended beneficiaries of this Section and may enforce its protections.
Administrator and Rules. Arbitration will be administered by the American Arbitration Association (“AAA”) before one neutral arbitrator under its Consumer Arbitration Rules and, when applicable, its Mass Arbitration Supplementary Rules. AAA’s consumer due process requirements control over conflicting procedural terms. The Federal Arbitration Act governs this arbitration agreement. A court will decide disputes about its formation, scope, validity, or enforceability, including the class action waiver. The arbitrator will decide the merits of arbitrable claims.
Fees and Procedure. Fees and arbitrator compensation will be allocated under AAA’s applicable consumer rules and fee schedule. UnderAsk will pay the amounts assigned to the business. Either party may request a proceeding through written submissions, telephone, or video where available. Any in-person hearing will take place in a location reasonably convenient to you, as determined under AAA’s Consumer Arbitration Rules, unless the parties agree otherwise. The arbitrator may award individual relief available under applicable law, subject to enforceable limitations in these Terms, and will issue a reasoned written decision. Judgment on the award may be entered in a court with jurisdiction. Each party will bear its own attorneys’ fees unless an award of fees is authorized by law or the applicable rules.
CLASS ACTION WAIVER. YOU AND UNDERASK AGREE TO PURSUE ARBITRABLE DISPUTES ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A CLASS REPRESENTATIVE OR MEMBER OF A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.
An arbitrator may not combine different persons’ claims for a decision on the merits without all affected parties’ written consent. Administrative coordination under AAA’s mass arbitration rules does not constitute prohibited consolidation. This waiver does not prohibit coordinated individual filings or joint legal representation.
If this waiver is held unenforceable for a particular claim or remedy, that claim or remedy will proceed in court, while the remaining arbitrable claims will remain in arbitration. These Terms do not authorize class arbitration.
Coordinated Claims and Batching. If twenty-five (25) or more similar arbitration demands are brought against UnderAsk by claimants represented by the same or coordinated counsel, the demands will be administered under AAA’s applicable Mass Arbitration Supplementary Rules. The demands shall be organized into batches, with batch sizes, selection procedures, and scheduling determined by AAA or the Process Arbitrator consistent with AAA’s consumer requirements. Batches shall proceed sequentially. No subsequent batch shall proceed to merits adjudication until final awards have been issued resolving all claims in the preceding batch, or those claims have otherwise been resolved by settlement, withdrawal, or dismissal. Claims within an active batch may proceed concurrently. Claimants may file their demands while awaiting their batch, and applicable limitation periods shall be tolled during any waiting period required by this provision. AAA or the Process Arbitrator may modify the sequencing requirements to the extent necessary to comply with applicable law or AAA’s consumer requirements or to prevent unreasonable delay. Each claim will remain individual and receive a separate determination and award, and an award in one claim shall not bind any other claimant. Administrative batching does not authorize class arbitration or consolidation of claims for a decision on the merits.
Exceptions. Except for eligible individual small claims actions permitted under AAA’s Consumer Arbitration Rules, the merits of a dispute may proceed in court only if a court of competent jurisdiction determines that the arbitration agreement cannot be enforced for that dispute or applicable law requires the claim or remedy to remain available in court. Any remaining arbitrable claims must proceed in arbitration.
Court proceedings to determine whether arbitration is required, compel arbitration, or confirm, enforce, or challenge an arbitration award do not permit either party to litigate the underlying arbitrable dispute in court. Government complaints and enforcement proceedings are not restricted.
Opt-Out. You may opt out of arbitration and the class action waiver by sending notice to Support Email below, within thirty (30) days after first accepting these Terms. Include your name, account email, and a clear statement that you opt out. A timely opt-out binds both parties, remains effective after later updates, and does not affect the remaining Terms or your access to the Service.
Administrator Unavailability. AAA’s unavailability alone does not create a right to litigate an arbitrable dispute. The parties will attempt to agree on another administrator providing equivalent consumer protections. If they cannot agree, either party may ask a court to appoint a substitute under the Federal Arbitration Act. This provision does not excuse UnderAsk’s failure to satisfy arbitration requirements or payment obligations or restrict remedies resulting from that failure.
Governing Law and Court Venue. These Terms are governed by Florida law and applicable federal law, with the Federal Arbitration Act governing arbitration. Neither party may litigate the merits of an arbitrable dispute in court. Court proceedings are limited to those permitted under this Section.
Except for eligible small claims actions or a legally required forum, permitted court proceedings must be brought exclusively in the state or federal courts located in Pasco County, Florida. Both parties consent to those courts’ jurisdiction and waive objections based on venue or inconvenient forum. This provision establishes venue only and does not create an independent right to litigate.
FOR DISPUTES PROPERLY PROCEEDING IN COURT, BOTH PARTIES WAIVE TRIAL BY JURY TO THE FULLEST EXTENT PERMITTED BY LAW. Nothing in this Section waives rights, remedies, or protections that cannot legally be waived.
Survival and Amendments. This Section survives cancellation, account closure, and termination. Material changes to this arbitration agreement require your affirmative acceptance and will not apply to an already accrued dispute without both parties’ agreement. Any arbitration opt-out validly exercised under an earlier version of these Terms remains effective.
Vehicle-buying services are regulated differently in each state and province. We may offer the Service only in some places, limit it to certain vehicle types, or add requirements where local law calls for them.
If your request involves a location where the Service is unavailable, do not submit a Negotiation Request. If we discover that a request falls outside our available area, we may decline or stop it. If dealer outreach has not begun, we will refund the fee. After outreach begins, refunds are governed exclusively by Section 5.
Changes to These Terms. UnderAsk may update these Terms prospectively. We will provide at least thirty (30) days’ notice of material changes by email or through the Service. The Terms accepted when you purchase a Negotiation Request will continue to govern that request unless you agree otherwise. We may require acceptance of updated Terms before permitting further use or new requests. Changes to arbitration are governed by Section 14.
Changes to the Service. UnderAsk may modify, replace, suspend, or discontinue features, tools, supported vehicles, geographic availability, or other aspects of the Service, and may establish usage limits and eligibility requirements. Changes do not independently create a refund right or eliminate UnderAsk’s obligations for an existing paid Negotiation Request. Refunds are governed exclusively by Section 5.
Suspension and Termination by UnderAsk. UnderAsk may refuse a request, restrict or suspend access, stop dealer outreach, or terminate an account or Negotiation Request if we reasonably believe that you have violated these Terms; provided inaccurate, misleading, incomplete, or unauthorized information; engaged in fraud, harassment, abuse, or misuse; failed to pay amounts properly due; or created a security, legal, or regulatory concern. We may also decline or stop requests outside our service scope or geographic availability.
We may act immediately when necessary to protect the Service, our business, or others. For a curable breach, we may provide an opportunity to correct it. UnderAsk may also discontinue an unfinished Negotiation Request for its convenience, subject to Section 5.
Termination by You. You may stop using the Service, request that we cease dealer outreach, or close your account by contacting the Support Email below. Doing so does not reverse communications already sent, cancel a transaction you entered directly with a dealership, or create a refund right beyond these Terms.
Effect of Termination and Refunds. Upon termination, UnderAsk may deactivate your account and stop providing the affected Service. Accrued payment obligations remain due. Cancellation, suspension, account closure, or termination by either party does not independently create a refund right. If UnderAsk terminates a Negotiation Request before dealer outreach begins, we will refund its fee. Once outreach begins, refunds are governed exclusively by Section 5. We may retain records for compliance, billing, dispute resolution, fraud prevention, and enforcement purposes consistent with our Privacy Policy.
Events Beyond Our Control. UnderAsk is not responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, governmental actions, telecommunications failures, third-party outages, or dealership nonresponse. The express refund commitments in Section 5 remain in effect.
Entire Agreement. These Terms, the accepted checkout disclosures and order confirmation, and any separately signed service agreement constitute the entire agreement concerning the Service and supersede prior discussions and agreements concerning the same subject. A separately signed service agreement controls over conflicting provisions of these Terms. Accepted request-specific checkout disclosures control as to the stated scope, price, duration, deliverables, and refund commitments. Our Privacy Policy governs our information practices.
No Relationship or Binding Authority. These Terms do not create a partnership, joint venture, employment relationship, general agency, or power of attorney. UnderAsk’s authority is limited to the communications described in Section 4. No employee, contractor, or automated tool may accept a vehicle offer or commit you to a transaction.
Assignment and Service Providers. You may not assign these Terms, transfer your account, or delegate your obligations without UnderAsk’s prior written consent. UnderAsk may assign these Terms to an affiliate or in connection with a merger, reorganization, financing, or sale of the relevant business or assets, provided the successor assumes the applicable obligations. UnderAsk may use contractors and service providers to perform the Service while remaining responsible for its contractual obligations.
Severability and No Waiver. Except as provided in Section 14, if a provision is held invalid or unenforceable, it will be severed or limited as necessary, and the remaining provisions will continue in effect. UnderAsk’s failure or delay in enforcing a provision does not waive that provision or any other right. A waiver in one instance does not waive future enforcement.
Survival and Third-Party Beneficiaries. Provisions concerning accrued payments and refunds, intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, governing law, and other matters intended to survive will remain effective after termination. UnderAsk’s affiliates, officers, directors, employees, contractors, agents, and service providers may enforce protections expressly extended to them. No other third party has enforcement rights under these Terms.
Mandatory Rights. These Terms apply to the fullest extent permitted by law and do not waive rights or remedies that cannot legally be waived.
Notices and Contact. UnderAsk may provide notices through your account email or the Service. You must keep your contact information current. Dispute notices and arbitration opt-outs must follow Section 14. Other questions, cancellation requests, and account matters may be directed to:
